Terms of Service & User Agreement

By accessing FreeGCP, you agree to the following terms governing usage, payments, intellectual property, and dispute resolution. Please read carefully before proceeding.

  • All transactions are final—no refunds or chargebacks will be honored.
  • By using FreeGCP you waive the right to pursue litigation beyond the limits described herein.
  • The platform is provided without warranties; we disclaim liability to the fullest extent permitted.
  • Use of our training is at your own risk; outcomes depend on how you implement the material.
  • Maximum aggregate liability is limited to $1.00 USD regardless of claimed damages.

1. Definitions and Interpretations

The following definitions apply throughout these Terms of Service and shall have the meanings set forth below:

"Agreement"

These Terms of Service, together with our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein, which collectively govern your use of the Platform.

"Platform" or "Service"

The FreeGCP Training website, mobile applications, APIs, databases, and all related services, features, content, and functionality offered by us.

"User," "You," or "Your"

Any individual or entity that accesses, browses, or uses the Platform, whether as a registered user or visitor.

"Content"

All materials, including but not limited to text, images, videos, audio, code, data, courses, assessments, and any other information available on or through the Platform.

"Intellectual Property"

All patents, trademarks, service marks, copyrights, trade secrets, know-how, and other intellectual property rights, whether registered or unregistered.

"Effective Date"

The date on which these Terms of Service become binding, which is the earlier of: (i) the date you first access the Platform, or (ii) the date you create an account.

2. Acceptance of Terms & Eligibility Requirements

Binding Legal Agreement

By clicking "I Agree," creating an account, or accessing any part of our Platform, you are entering into a legally binding contract with FreeGCP Training. If you do not agree to ALL terms without exception, you must immediately cease using our services.

2.1 Methods of Acceptance

You accept these Terms through any of the following actions:

  • • Clicking any button indicating acceptance or agreement
  • • Creating or logging into a user account
  • • Accessing or browsing any course content
  • • Using any feature or functionality of the Platform
  • • Making any payment for our services
  • • Continuing to use the Platform after being notified of Term updates

2.2 Eligibility Requirements

To use our Platform, you must meet ALL of the following requirements:

  • You must be at least 16 years of age
  • You must have the legal capacity to enter binding contracts
  • You must not be barred from using the service under applicable law
  • If using on behalf of an organization, you must have full authority
  • You must provide accurate and complete registration information
  • You must not have been previously banned from our Platform

2.3 Parental Consent

If you are between 16 and 18 years of age, you affirm that you have obtained the consent of your parent or legal guardian to use this Platform and that they have reviewed and agreed to these Terms on your behalf.

3. License Grant and Restrictions

4.1 Limited License Grant

Subject to your complete and ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and view course materials for personal, non-commercial educational purposes
  • Download permitted materials solely for offline personal study
  • Participate in assessments and earn certificates for completed courses
  • Access community features in accordance with our community guidelines

4.2 License Restrictions

You are strictly prohibited from:

  • Copying, modifying, or creating derivative works of any Content
  • Distributing, selling, licensing, or commercializing any Content
  • Using automated systems or software to extract Content (scraping)
  • Sharing login credentials or allowing others to access your account
  • Circumventing any security features or access restrictions
  • Using the Platform for any illegal or unauthorized purpose
  • Reverse engineering or attempting to derive source code
  • Removing or altering any proprietary notices or labels

4.3 Reservation of Rights

All rights not expressly granted to you are reserved by us and our licensors. No license or right is granted by implication, estoppel, or otherwise. The Platform and all Content are protected by copyright, trademark, and other intellectual property laws.

4. Payment Terms and Absolute No Refund Policy

ABSOLUTE NO REFUND POLICY - NO EXCEPTIONS

ALL SALES ARE FINAL AND NON-REFUNDABLE UNDER ANY AND ALL CIRCUMSTANCES

  • • NO REFUNDS for any reason whatsoever, including but not limited to:
  • - Change of mind or buyer's remorse
  • - Inability to complete courses
  • - Technical difficulties or platform issues
  • - Dissatisfaction with content quality
  • - Failed assessments or examinations
  • - Account suspension or termination
  • - Duplicate purchases or billing errors
  • - Changes in personal or financial circumstances
  • • NO PARTIAL REFUNDS for unused subscription time
  • • NO PRORATED REFUNDS upon cancellation
  • • NO CHARGEBACKS - attempting a chargeback will result in permanent ban

BY MAKING ANY PURCHASE, YOU EXPLICITLY ACKNOWLEDGE AND ACCEPT THIS NO-REFUND POLICY

7.1 Subscription Terms

Automatic Renewal

All subscriptions automatically renew at the end of each billing period until explicitly cancelled. You authorize us to charge your payment method on file for renewal without further authorization from you.

Cancellation and Subscription Termination

You may cancel your subscription at any time through your account settings or user profile menu. Upon cancellation:

  • • Your subscription will remain active until the end of your current billing period
  • • You will retain access to premium features through the end of the paid period
  • • No further charges will be made after the current period ends
  • • NO REFUNDS will be issued for any remaining time in your billing period

Account Deletion and Subscriptions

IMPORTANT: If you delete your account, your subscription will be IMMEDIATELY and PERMANENTLY cancelled.

  • • Account deletion cancels all active subscriptions immediately
  • • You lose access to all premium features immediately upon deletion
  • • NO REFUNDS are provided for unused subscription time, including annual subscriptions
  • • This applies even if you just paid for a subscription period
  • • All subscription benefits are forfeited upon account deletion
  • • You cannot recover your subscription if you change your mind

Price Changes

We reserve the right to modify pricing at any time. Price changes will apply to new subscriptions immediately and to existing subscriptions upon renewal after 30 days notice.

Currency and Taxes

All prices are in USD unless otherwise stated. You are responsible for all applicable taxes, and we will charge tax when required to do so.

7.2 Payment Processing

Important Payment Information

  • • Payments are processed by secure third-party providers
  • • We do not store your payment card details
  • • You must provide accurate billing information
  • • Failed payments may result in service suspension
  • • Multiple payment failures may result in account termination
  • • You are responsible for keeping payment methods current

5. Disclaimers and Warranty Exclusions

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND

12.1 Educational Content Disclaimer

  • Course content is for educational purposes only and may contain errors
  • We make no guarantees about the accuracy, completeness, or currency of any content
  • Clinical research regulations vary by jurisdiction and change frequently
  • You must independently verify all information with appropriate authorities
  • Course completion does not guarantee competence or qualification

12.2 No Professional Advice

Nothing on this Platform constitutes professional advice of any kind, including but not limited to:

We Do NOT Provide:

  • • Medical or healthcare advice
  • • Legal or regulatory guidance
  • • Career or employment counseling
  • • Financial or investment advice
  • • Specific protocol recommendations

You MUST:

  • • Consult qualified professionals
  • • Verify all information independently
  • • Follow applicable regulations
  • • Use professional judgment
  • • Accept full responsibility

12.3 No Guarantees or Warranties

WE EXPLICITLY DISCLAIM ALL WARRANTIES INCLUDING:

  • • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PURPOSE
  • • WARRANTIES OF NON-INFRINGEMENT OR TITLE
  • • WARRANTIES THAT ACCESS WILL BE UNINTERRUPTED OR ERROR-FREE
  • • WARRANTIES REGARDING ACCURACY OR COMPLETENESS OF CONTENT
  • • WARRANTIES ABOUT RESULTS OR OUTCOMES FROM USING OUR SERVICE
  • • ANY IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING

6. Absolute Limitation of Liability

MAXIMUM LIABILITY CAP - READ CAREFULLY

UNDER NO CIRCUMSTANCES SHALL OUR TOTAL LIABILITY EXCEED ONE DOLLAR ($1.00 USD)

This limitation applies regardless of the legal theory, whether in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

13.1 Exclusion of Damages

IN NO EVENT SHALL WE BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • COST OF SUBSTITUTE SERVICES OR REPLACEMENT COSTS
  • DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM
  • DAMAGES FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
  • DAMAGES FROM INTERRUPTION OR CESSATION OF SERVICES

13.2 Essential Purpose and Allocation of Risk

These limitations reflect the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

7. Indemnification

Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless FreeGCP Training and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Platform.

14.1 Scope of Indemnification

You shall indemnify us against all claims arising from or related to:

  • • Your violation of these Terms or any applicable law
  • • Your use or misuse of the Platform or Content
  • • Your infringement of any intellectual property rights
  • • Any content you submit, post, or transmit through the Platform
  • • Your violation of any third-party rights
  • • Any unauthorized access to accounts using your credentials
  • • Any claims that your use caused damage to a third party
  • • Your breach of any representations or warranties

14.2 Defense and Settlement

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You shall not settle any claim without our prior written consent.

8. Mandatory Arbitration and Class Action Waiver

PLEASE READ CAREFULLY - THIS AFFECTS YOUR LEGAL RIGHTS

BY USING OUR PLATFORM, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING ARBITRATION AND WAIVE YOUR RIGHT TO SUE IN COURT OR PARTICIPATE IN CLASS ACTIONS.

17.1 Mandatory Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding individual arbitration, except as specifically provided below:

  • • Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules
  • • The arbitration shall be held in California or via videoconference
  • • The arbitrator's decision shall be final and binding
  • • Each party shall bear its own attorneys' fees and costs
  • • The arbitration shall be confidential

17.2 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY.

17.3 Limited Exceptions

The following claims are exempt from arbitration: (i) small claims court actions within that court's jurisdiction, (ii) claims for injunctive relief for intellectual property infringement, and (iii) claims that cannot be arbitrated under applicable law.

9. Governing Law and Jurisdiction

18.1 Governing Law

These Terms of Service and any disputes arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

18.2 Jurisdiction

You agree that any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in California, and you hereby consent to and submit to the personal jurisdiction of such courts.

18.3 California Specific Rights

California Residents: You have specific rights under California law, including:

  • • Rights under the California Consumer Privacy Act (CCPA) as detailed in our Privacy Policy
  • • Protection under California's Automatic Renewal Law (ARL) for subscription services
  • • Rights under California Civil Code Section 1789.3 for electronic commerce
  • • California's Unruh Civil Rights Act protections against discrimination

18.4 Compliance with California Laws

We comply with all applicable California laws including but not limited to the California Online Privacy Protection Act (CalOPPA), the California Business and Professions Code, and all relevant consumer protection statutes.

10. Miscellaneous Provisions

19.1 Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

19.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing by us.

19.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

19.4 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and FreeGCP Training.

YOUR CONTINUED USE OF THE PLATFORM CONSTITUTES ACCEPTANCE OF THESE TERMS IN THEIR ENTIRETY.
